On the Fault Determination of False Statement of Director’s Responsibility——Comment on Judicial Provisions on Tort Compensation for False Statements

摘要过错推定是证券市场虚假陈述侵权赔偿董事责任追究的归责原则,也是我国立法基于投资者利益保护和受害人损失补偿作出的必然和合理的选择。过错推定原则之下,董事享有反证抗辩的权利。判断董事过错的基本标准是董事的注意义务或善管义务,因特定信息披露行为注意义务举证的困难,整体履职的勤勉尽责成为判断董事过错的重要标准或替换根据。法院对董事虚假陈述的过错认定,不应止步于法定的过错推定,也不应对董事的反证举证设定过高标准,应确立以司法审理为中心、对各种事实和证据予以综合判断的裁判思路和方法。新发布的《虚假陈述侵权赔偿若干规定》对董事过错的认定因素和根据、对董事过错抗辩的四个常见理由如何采信以及董事过错排除的几种情形所做规定,是董事过错认定最具操作性的裁判规范,也是虚假陈述民事赔偿制度的重要突破和创新,同时,对这些裁判规范需要给予理性的解读、深入的分析和正确的适用。 The presumption of fault is the liability principle of directors’ liability in the compensation of false statements in the securities market,and it is also an inevitable and reasonable choice based on the protection of investors’ interests and the compensation of victims’ losses in China’s legislation.Under the principle of presumption of fault,the director has the right of disproof of defense. The basic criterion for judging directors’ faults is their duty of care or duty of good management. Due to the difficulty in providing proof for duty of care of specific information disclosure behavior,the diligence and conscientiousness of overall performance of duties becomes an important criterion or alternative basis for judging directors’ faults. The court should not stop at the legal presumption of fault in determining the false statement of directors,nor should it set too high a standard for the counterproof of directors. Instead,it should establish the thinking and method of judging all kinds of facts and evidence comprehensively with judicial trial as the center. The most recent judicial provisions provide the most operable judgment standard for the determination of directors’ fault,as well as an important breakthrough and innovation of the civil compensation system for false statements. At the same time,these rules need rational interpretation,in-depth analysis and correct application.
