摘要
中国正在崛起的国有跨国公司已经引起了世界范围内的广泛关注。本文结合纵向历史法和过程-事件分析,通过梳理改革开放40年来中国国有企业的国际化发展脉络,力图揭示国有企业国际化经营演进的阶段特征及其制度逻辑。研究发现,中国国有企业的国际化成长,始终伴随着强制性制度变迁和诱致性制度变迁的交互作用;国有企业的国际化符合传统的渐进演化规律,在推进速度上又表现出超常规、非线性的特征;国有企业国际化的特殊历程根源于中国改革开放和大容量内需市场的特殊制度环境。当前,唯有通过进一步深化国有企业改革,在混合所有制基础上建立现代跨国公司治理体系,进一步规范国有企业海外投资行为,才能使国有企业在国际市场以更加合法合规的姿态,更好地实现国家使命和企业战略目标。
China s rising state-owned transnational enterprises have attracted worldwide attention.Tracing back the internationalization of China s state-owned enterprises(SOEs)during the past 40 years of reform and opening up,this paper tries to reveal the characteristics and institutional logic of SOEs’internationalization by combining the longitudinal historical method and process-event analysis.The findings were shown as follows:the internationalization of China s SOEs was always accompanied by the interaction of mandatory institutional changes and induced institutional changes;the internationalization of China’s SOEs complies with the stage model,while in the advancing speed,it shows the transnormal and nonlinear characteristics;the special internationalization process of SOEs is rooted in the special institutional environment of China s reform and opening up,and also the large-capacity domestic demand market.At present,only by further deepening the reform of state-owned enterprises,establishing the modern transnational corporate governance system on the basis of the mixed ownership system reform,and further standardizing the overseas investment behavior of SOEs,can the state-owned enterprises be more legal in the international market,and better realize the national mission and enterprise strategic objectives.
