摘要
《公司法(二审稿)》对《公司法》立法目的条款进行了增订与完善,该款的法理本质、司法适用与功能发挥等问题亟待厘清。宏观上,立法目的条款塑造了我国公司法的现代化品格,为公司法修订提供价值指引;微观上,立法目的条款对于公司法案件裁判亦具有指导功能。《公司法》立法目的条款是我国法律体系中的特有现象,在规范层面,《公司法》立法目的条款能够促进企业家精神弘扬和经济增长,促进公司、股东、债权人、企业家及其他利益相关者的利益平衡,推动实现共同富裕与中国式现代化;在实践层面,针对形式援引和场景单一的问题,应当引导《公司法》立法目的条款的有限司法适用,采取适当利益衡量方式进行法律解释和漏洞填补。我国《公司法》修改应当围绕立法目的之要求,为公司创新发展创造优良的营商环境,推动中国经济可持续和高质量发展。
The Company Law(Second Review Draft)has added and improved the legislative purpose clauses of the Company Law,and the legal essence,judicial application,and functional exertion of this clause urgently need to be clarified.On a macro level,the legislative purpose clause has shaped the modern character of China’s company law and provided value guidance for the revision of the company law;At the micro level,legislative purpose clauses also have a guiding function for the adjudication of company law cases.The legislative purpose clause of the Company Law is a unique phenomenon in China’s legal system.At the normative level,the legislative purpose clause of the Company Law can promote the promotion of entrepreneurship and economic growth,promote the balance of interests among companies,shareholders,creditors,entrepreneurs and other stakeholders,and promote the realization of Common prosperity and Chinese path to modernization;At the practical level,the limited judicial application of the legislative purpose clause of the Company Law should be guided,and the Statutory interpretation and loopholes should be filled by means of an appropriate balance of interests.The revision of the Company Law should revolve around the requirements of legislative purposes,create a good business environment for innovative development of companies,and promote sustainable and high-quality development of the Chinese economy.
