摘要
一直以来,行政规章被明确排除在认定合同效力的裁判依据之外,而我国金融领域现存大量的行政监管规章约束着金融创新和各种商事交易行为,如果完全排除金融监管规章对合同效力的影响认定,不具有制度理性和现实理性。最典型的莫过于法院对于上市公司股权代持合同的效力认定的司法态度。通过以上市公司股权代持合同为例,对近些年来司法实践中裁判案例进行梳理分析,对行政规章影响商事合同的模式进行探析,得出以下结论:首先,金融监管规章可以影响合同的效力,关键在于如何理解适用公序良俗原则,对于上市公司而言,证券领域公序良俗的认定成为法官面对该类案件考虑的首要问题;其次,要从上市公司股权代持本身的特点出发,结合上市公司股权代持所需的考量因素,对该类案件进行类型化分析以便灵活处理各类案件。
The administrative regulations are definitely excluded from the judgment basis of determination of the validity of contract for a long time,but numerous current administrative regulations in financial fields in China confine the financial innovation and different commercial transaction matters.If we completely exclude the influence determination of financial regulations on the validity of contract,it doesn’t have institutional and realistic validity.The most typical is no better than the judicial attitude of court towards the validity determination of share-holding entrustment contract of listed companies.By taking the share-holding entrustment contract of listed companies as example,analyzing the judgment cases in the judicial practice in recent years,and researching how administrative regulations influence commercial contract,we draw the following conclusions:at first the financial regulations can influence the validity of contract,and the key lies in how to comprehend the application of the public order and moral.For listed companies,the determination of the public order and moral in the security fields is priority for judge of coping with the cases.Secondly,we should start from the features of share-holding entrustment of listed companies combined with the factors share-holding entrustment of listed company needs,and analyze various ways which the cases belong to so as to deal with different cases.
