摘要
目前中国与"一带一路"沿线国家签订的双边投资协定中,含有一般例外条款的协定数量极少,且条款内容存在诸多不足。为促进中国与"一带一路"沿线国家的互利合作与发展,平衡保护投资者私人利益和东道国公共利益,中国应适时转变中外双边投资协定中一般例外条款的立法理念,合理选取修改途径,采用合适的条款表现形式,还要完善一般例外条款的保护目标范围、明确措施实施前提、区分不同保护目标的措施关联性,并补充协定中与公共利益有关条款的内容。
At present,only a small number of agreements include the general exception clause in the existing bilateral investment agreements between China and the countries along“the Belt and Road”(B&R).Moreover,the general exception clause has many deficiencies.In order to promote the cooperation and development between China and countries along B&R and balance the private interests of the investor and public interests of the host countries,China should change the legislative idea of the general exception clause,select the reasonable way to revise the general exception clause,and adopt the appropriate expression approach for general exception clause.Furthermore,China should also perfect the scope of protected objects of general exception clause,provide detailed premise of application,differentiate the relevance of measures of different protected objects and add the content in other clauses related to public interests.
