摘要
建立公办高校法人治理结构是一项重大的制度创新。从"政事一体"走向"政事分开"是教育行政发展总体趋势,其核心是落实公办高校办学自主权。随着科层管理模式在现代大学的确立,大学内部治理的关注点从"横向分权"转向"纵向分权",基层学术组织自治问题凸显。规制大学权力运行是大学章程的主要功用,中国大学章程主要规制学校与基层学术组织之间的关系。作为法人治理的"宪章",大学章程具有三个特点:从形式上看,大学章程是政府与公办高校签署的行政契约;从内容上看,大学章程既是办学许可证,也是治理委员会和管理层的运行规则;从效力上看,大学章程是法律的延续,对政府、公办高校、理事、管理人员等均具有约束力。建立中国特色现代大学制度必须坚持"依法立章、依章治校"。
Establishment of the corporate governance structure in public university is an important institutional innova- tion. From “integration of the government and university” to “separation of the government and university” is the overall trend of educational administration development, whose core is to implement the public university autonomy. With the es- tablishment of bureaucracy in the modem university, the university＇s internal governance concern is moving from the “the horizontal decentralization” to “vertical decentralization”. The problem of the basic academic organization autonomous has become increasingly prominent. Regulation of the power operation of university is the main function of university charter. The relationship between the university and the basic academic organization is adjusted by university charter in China. As the “charter” in corporate governance, university charter has three characteristics： firstly, university charter is an administra- tive contract signed by the government and public universities. Secondly, the university charter is not only the license of u- niversities, but also the running roles of the governing council and administration. Finally, university charter is the continu- ation of the law, which shall be binding on the government, public universities, directors, managers and other. The estab- lishment of modem university system with Chinese characteristics must adhere to “developing university charter by law, managing the university by university charter”.
