摘要
优化营商环境、保护民营企业的现实需求,涉案企业合规改革的实践探索和理论研讨,呼唤刑事诉讼法及时作出回应,尽快启动修订法律的工作,从立法上确立企业刑事合规程序。刑事诉讼法修改可采用专章规定与一般规定相结合、特别程序与普通程序相结合的模式,在特别程序编中增设“企业刑事合规程序”,同时对刑事诉讼法其他相关条文进行必要修改和补充。涉案企业合规整改的核心关切在于程序出罪,为此可对现行法上的裁量不起诉制度加以体系性完善,具体为完善酌定不起诉制度,改革附条件不起诉制度,激活核准不起诉制度,以应对大中小微企业实施的各类刑事案件。增设企业刑事合规程序,还要处理好企业合规整改的刑事、行政衔接,做到各司其职而又互相配合,互不越界而又有效衔接。
The practical needs of optimizing the business environment and protecting private enterprises,as well as the judicial exploration and theoretical discussion of the pilot reform program for corporate criminal compliance,call for a timely response of the Criminal Procedure Law,which should be amended as soon as possible to establish procedures concerning corporate criminal compliance in the legislation.The mode of combining provisions in the specialized chapter and the general part,and combining special and general procedures may be adopted in the amendment to the Criminal Procedure Law,that is,adding"procedures concerning corporate criminal compliance"in the Section of Special Procedures,while making necessary amendments and supplements to other relevant provisions in the Criminal Procedure Law.The core concern of the rectification and correction in the corporate criminal complianceis the resulting non-prosecution in the procedural sense,thus it is advisable to make systematic improvement of the existing non-prosecution system,specifically to improve the discretionary non-prosecution system,reform the conditional non-prosecution system,and activate the approved non-prosecution system,in order to deal with all kinds of criminal cases committed by small,medium and large enterprises.To add the procedures concerning corporate criminal compliance,it is necessary to deal with the connection between the criminal and administrative aspects of the corporate compliance,so that theyplay their own roles but cooperatewith each other,and do not overstep the boundaries of each other but are effectively interconnected.
