摘要
民法典总则编司法解释特意将标的物的价格作为重大误解的客体加以规定,意在对实践中消费者“薅羊毛”的情形予以回应,经营者可以以重大误解为由主张撤销合同。然而该条规定忽视了商事合同与民事合同的区别。民事合同关注消费者是否诚信以及经营者有无过失,商事合同则贯彻外观主义以及经营者严格责任,不同合同项下经营者的注意义务和消费者的信赖利益有所不同。网购场景的电子商务合同作为商事合同,按照商事外观主义和经营者的严格责任,不应允许经营者任意撤销该合同。故司法解释的该条规定不应适用于电子商务合同。
The Judicial Interpretation of the General Provisions of the Civil Code specially regulates the price of the subject matter as the object of material misunderstanding,with the intention of responding to the circumstance where consumers“rip off wool”in practice,so the business operator may claim to cancel the contract on the grounds of material misunderstanding.However,this provision ignores the difference between commercial contracts and civil contracts.Civil contracts focus on whether consumers are in good faith and business operators are at fault,while commercial contracts emphasize the protection of Rechtsscheinprinzip and assumption of strict liability by business operators.The duty of care of business operators and the reliance interest of consumers are different under different contracts.According to the principle of commercial Rechtsscheinprinzip and the principle of the operator’s strict liability,an e-commerce contract in the online shopping scenario,as a commercial contract,shall not be allowed to be arbitrarily revoked by the operator.Therefore,this provision of the judicial interpretation shall not be applied to e-commerce contracts.
