摘要
所有权保留制度系解决分期付款买卖双方当事人之间权益分配的最佳模式,但《合同法》第134条对所有权保留的规定值得检讨。学者对于所有权保留法律性质的见解颇多,笔者认同所有权保留系担保性所有权的观点,并指出所有权保留应以明示方式设定,其适用范围不限于动产。所有权保留约款应与买卖合同同时达成或至迟于标的物交付前完成。
The model of retention of ownership can be used to optimally allocate the rights and duties of the contractual parties in case of installment sales. However, it is worth-noting that the article 134 of Contract Law shall be reviewed. Based on the different opinions in respect of the characteristics of retention of ownership generalized by scholars, the author agrees that the retention of ownership is of ownership with security. In addition, the retention of ownership shall be created in an expressed way, the application of which shall be limited to movable property. Last but not least, an agreement of ownership retention shall be concluded at the same time that the sales contract is entered into, or not later than the delivery of the goods.
