摘要
对国有企业实行债权转股权的举措,是国家的一种重大政策性选择。其目的主要有二:一是推进国有企业的改革;二是促进国有商业银行的发展。对国有企业的债转股行为应予准确界定,并进行相应的经济立法,对立法模式和立法内容进行选择和确定。
?It is of strategic importance for the State to adopt the policy of converting the debts owned by state-owned enterprises into the shares with two fundamental purpose:1.Further facilitat the reform of state-owned enterprises.2.Promote the development of commercial banks.It is essential to give a clear cut definition of debt-turning-into-share,and accordingly, the economic legislation should be carried out. In addition, decision and option must be made with regard to model and content of the legislation.
