摘要
股东失权制度存在两大问题有待讨论:一是失权与除名制度的关系问题;二是失权制度本身细化不足问题。对此,本文建议在适用上要以“出资比例”为判断标准,明确两制度在适用上的独立性和递进性;针对失权制度适用要件和处置制度细化不足、失权股东权利救济困难以及责任承担不明等适用问题,需通过细化股东失权制度的适用要件、完善失权股权处置制度、保障失权股东权益救济以及明确责任承担等方式予以解决,以进一步完善股东失权制度。
There are two major issues to be discussed regarding the shareholder loss of rights system.One is the relationship between loss of rights and expulsion,and the other is the insufficient refinement of the loss of rights system itself.On the one hand,in terms of application,the"contribution ratio"should be used as the criterion for judgment,and the independence and progressiveness of the two systems in application should be clarified.On the other hand,in response to the insufficient refinement of the application requirements and disposal system for the loss of rights system,difficulties in remedying the rights of shareholders who have lost their rights,and unclear responsibilities,it is necessary to address these issues by refining the application requirements of the shareholder loss of rights system,improving the disposal system for lost equity,safeguarding the rights and interests of shareholders who have lost their rights,and clarifying responsibilities,in order to further improve the shareholder loss of rights system.
