摘要越来越多的上市公司采用有限合伙协议架构作为搭建公司治理的基础构架。使用2014—2020年首次公开发行的A股非国有上市公司数据,研究有限合伙协议架构能否发挥相应的治理能力促进企业创新。实证研究结果发现,有限合伙协议架构对企业创新水平的提升具有显著促进作用。异质性分析表明,良好的内外部治理机制能够强化有限合伙协议架构对企业创新的促进效应。作用机制研究发现,有限合伙协议架构能够通过提升普通合伙人风险偏好,进而促进企业创新。进一步研究表明,当企业信息质量较高、人力资本专用性投资水平较低时,有限合伙协议架构对企业创新的促进作用更加显著。研究结论为全面科学评价有限合伙协议架构这种创新治理机制的经济后果提供新证据,同时也为政府相关部门制定监管政策提供决策依据。 There is a growing trend among publicly listed companies to adopt a limited partnership agreement structure as a fundamental framework for corporate governance.Whether the limited partnership agreement structure can exert the corresponding governance ability and promote enterprise innovation level is the research question of this paper.This paper empirically tests the impact of limited partnership agreement structure on enterprise innovation,and the results show that limited partnership agreement structure has a significant promoting effect on the improvement of enterprise innovation level.A heterogeneity analysis revealed that strong internal and external governance mechanisms amplify the positive impact of the limited partnership agreements on corporate innovation.Further mechanism analysis finds that limited partnership agreement can improve GPs risk appetite,then finally promote the innovation level of enterprises.Further research indicates that the facilitative effect on innovation is especially marked in firms with higher information quality and reduced investment in firm-specific human capital.These insights offer fresh evidence for evaluating the economic impacts of a limited partnership agreement structure as a novel governance mechanism and provide policy-making guidance for government entities crafting regulatory strategies.
