摘要
反向适用公司法人人格否认制度的确立具有正当性和必然性。我国主流学说支持应当由外部债权人反向刺破公司面纱,这一学说亦广泛运用于司法实践之中。为了强化该制度的法律依据,必须进一步探索反向适用法人人格否认的规制路径,从主体要件、主观要件、行为要件和结果要件等方面进行制度构建,保障外部债权人的正当权益和商事交易的公平正义。
The establishment of the system of disregard of corporate personality in reverse application has its legitimacy and inevitabili-ty.The mainstream theory of our country supports that the external creditor should pierce the veil of corporation in reverse,and this theory is also widely used in judicial practice.In order to strengthen the legal basis of the system,it is necessary to further explore the regulatory path of the reverse application of the denial of legal personality,and to construct the system from the aspects of the main elements,the subjective elements,the action elements and the result elements,etc.,guarantee the legitimate rights and interests of external creditors and the fairness and justice of commercial transactions.
