专利许可合同中数量限制条款的反垄断法分析 被引量:7

摘要 在专利许可合同中约定数量限制条款是专利许可活动中的限制性做法之一,包括产量、销量、技术、使用次数等多种限制形式。数量限制条款的订立可降低许可方的研发风险,有助于许可方收回前期投资并获得收益。虽然数量限制条款作为协议双方自由协商的合同条款,理应获得法律的保护,但在特定条件下,专利作为一种市场竞争工具,在专利许可合同中约定数量限制条款存在控制市场和限制竞争的可能。各国和各地区结合合同双方关系、数量限制条款类型、合同当事人的市场份额等多方因素考量,对数量限制条款予以评判。我国尚未确立系统且完整的数量限制条款法律规范,仍需在借鉴域外经验的基础上,从垄断协议与滥用市场支配地位这两个角度分析数量限制条款的合法与违法问题。 Incorporating the quantity limitation clause in a patent licensing contract,including output limitation,sales limitation,the number of usage limitation and so on,is one of the restrictive practices of patent licensing activities. The quantity limitation clause not only reduces the risk of RD of the licensor,but also helps the licensor to recover the upfront investment and receive additional benefits. The quantity limitation clause results from the free negotiation of the parties,which must be protected by the law. But patent is a tool for market competition,so incorporating the quantity limitation clause in the patent licensing contract may restrain competition under certain conditions. Other countries and regions judge the quantity limitation clause via the relationship of the parties,the type of the quantity limitation provisions and the market share of the parties.China has not yet systematic and complete legal norms about the quantity limitation clause,so we still need to learn from the experience of other countries and regions,analyse the quantity limitation provisions from the monopoly agreement and the abuse of market dominant position.
