摘要
电力多种经营企业在建立现代企业制度过程中,存在着盲目求大的错误倾向,存在着公司法人治理结构不完善、选拔和激励机制未建立、股权结构不合理、集体股比例过高、最终产权不清晰等诸多问题,问题出现的根源在于电力行业的特殊政策和不公平的市场竞争环境。因此多种经营企业应改善公司治理结构,确保所有者到位,延伸企业工会的投资职能,取消集体股控股限制,取消集体股不能量化的限制。
During the process of setting up the modern enterprise system,there exits wrong tendency as pursuing large scale blindly in the electricity power mult-companies.There are also many problems during this process,including imperfection of the corporate management structure,lack of the mechanism of selection and encouragement,unreasonable share holding structure,too much collective shares and unclear ultimate property right.These problems are directly caused by the special policy for electricity power industry and the unfair competing conditions in the market.Therefore,electricity power mult-companies should improve the corporate management structure,ensure the property ownership,expand the investment function of the union,cancel the prohibition of collective shares domination,cancle the limitation that the collective share can’t be quantified.
