摘要
根据银行组织治理的特征,本文建立了一个治理制度变革的理论模型,探讨银行股权国际化与治理制度创新的关系。结果表明,控股股东与非控股大股东之间的有效制衡关系是实现银行治理效率的有效安排;只要外资股权的制度质量高,并且股权投资者的持股比例超过一定的域值,就可以实现国内商业银行治理机制的创新演化。为确保银行金融机构的稳健经营,探索中国特色的银行业公司治理模式,监管层可以增加外国股权投资者的制度质量评估,适当提高持股比例、延长持股年限,促使战略投资者与国内银行形成长期的战略共生关系。
Based on the characters of banking corporate governance,this paper established a theory model of governance efficiency and governance institution Evolution for commercial banks,and demonstrated the relation between foreign ownership and banking corporate governance.The paper argues that trading off the interests between control shareholders and no-control shareholders is the optimal bank governance.The good institution quality of home country and the appropriate proportion of equity investment will help domestic bank improving governance mechanism.In order to ensure Bank financial institutions sound operation,the regulator should evaluate the institution quality of foreign equity investor,and urge strategic investor and domestic bank building the close collaborate relation.
