摘要
PPP作为有效整合公私部门资源的创新制度,将市场机制引入公共领域,在私营企业、民营资本与政府方紧密合作下大力兴建基础设施。该项目在发挥民营企业的金融及管理资源优势、缓解财政压力的同时,改善、优化了公共产品和服务供给。我国PPP模式已发展至规范化阶段,但仍然存在以政府行为风险、企业经营管理风险以及市场风险为主的诸多风险。对于PPP模式的规制与监管,我国仍没有形成完整的体系,顶层设计与细化规则的缺失不仅延长了谈判时间并且增加了交易成本,并且阻却了一些优质项目的进展。应从PPP项目的性质及相关风险进行剖析,以控制风险为视角完善相关法律规制,包括顶层设计、具体法律条文以及其他相应的配套措施层面。
Public Private Partnership(PPP),as an innovation system,effectively integrates the resources of public and private sectors,introduces market mechanisms into the public domain and vigorously builds infrastructure in close cooperation between private enterprises,private capital and the government.The project improves and optimizes the supply of public goods and services while making space for the financial and management resource advantages of private enterprise and relieving financial pressure.PPP in China has developed into a standardized stage,but there are still many risks-mainly government behavior risk,enterprise operation and management risk,and market risk.For the regulation and supervision of PPP,there is still no complete system in China.The absence of top-level design and detailed rules not only extends the negotiation time and increases the transaction cost,but also hinders progress.The nature of PPP and related risks should be analyzed,and relevant legal regulations should be improved from the perspective of risk control,including top-level design,specific legal provisions and other relevant supporting measures.
