摘要
2018年8月FIRRMA法案的出台标志着CFIUS第四次改革的开始,FIRRMA法案增加了国家安全考量因素、扩大了管辖交易范围,使美国国家安全审查更加严格。CFIUS第四次改革特别针对中国投资,给我国赴美投资提出了更大的挑战。为应对CFIUS的第四次改革,我国应当采取推进中美双边谈判、构建我国制衡机制、加快企业治理改革等措施积极应对。
The introduction of FIRRMA Act in August 2018 marked the beginning of the fourth reform of CFIUS.FIRRMA Act added national security considerations,expanded the jurisdiction of transactions,and made the US national security review more stringent.The fourth reform of CFIUS,especially aimed at Chinese investment,posed greater challenges for China’ s investment in the United States.In order to deal with the fourth reform of CFIUS,China should adopt such measures as promoting bilateral negotiations between China and the United States,building China’s balance mechanism,and speeding up the reform of corporate governance.
