摘要
FIDIC合同条件作为国际咨询工程师联合会对国际工程承包的经验总结,在协调工程项目参与方的法律关系中起到关键作用。通过对FIDIC合同进行识别,可明确FIDIC合同的国际商事惯例属性。经由当事人选择,FIDIC合同作为国际商事惯例亦可对当事方产生契约性效力,具体起到还原交易意图、软化交易规则以及填补交易空白等功能。FIDIC合同在代表性国家和地区适用中体现了较大程度的合同自由与当事人意思自由,同时因其具有的国际商事惯例属性也受到一定限制:在国内法院,多数国家对FIDIC合同作为合同的准据法持保留态度;FIDIC合同在具体适用中受到一国公共秩序保留和强制性规范的约束。而在国际商事仲裁实践中,在当事人未选择或未就此达成一致时,因国际商事惯例独立于个人意志适用的现象已有出现,这导致FIDIC合同在合同准据法的适用范围与国际商事惯例的适用途径这两方面存在扩张。
As a summary of the experience of international engineering contracting by the International Federation of Consulting Engineers,FIDIC contract conditions play a key role in coordinating the legal relationship between project participants.Through the identification of FIDIC contract,the international commercial practice attribute of FIDIC contract can be clarified.Under the choice of the parties,FIDIC contract has the contractual effect of international commercial practice and specifically plays the role of reducing the transaction intention,softening the transaction rules and filling the transaction gap.In the application of FIDIC contract in representative countries and regions,it embodies the freedom of contract and the partieswill to a large extent.But,it is also limited by the nature of international commercial practice.In domestic courts,most countries have reservations about FIDIC contract as the applicable law of contract.At the same time,FIDIC contract are subject to the public order reservations and peremptory norms of a State in their specific application.However,in the practice of international commercial arbitration,when the parties have not chosen or reached an agreement on this issue,the phenomenon that international commercial conventions are applied independently of individual will has emerged,which leads to the expansion of FIDIC contract in the scope of application of the applicable law of contract and the way of application of international commercial conventions.
