摘要
西方各派企业理论 ,从不同的角度论述了企业与不确定性的联系。在分析前人理论的基础上 ,文章将企业进一步概括为吸收、消化不确定性的“装置”。剩余控制权是企业“自觉力量”的灵魂 ;而剩余索取权与剩余控制权对应的制度安排则是企业承担不确定性的法宝。
West firm theories,the relation between firm and uncertainty is discussed from different prospect of their own.On the basis of the analysis of these theories,this article concludes that firms are 'devices' for absorbing and digesting uncertainty.Residual claim is the soul of a firm for 'self decided power';and the matching of residual claim with residual rights of control is the talisman to undertake uncertainty.
