摘要
本文以一种规范的视角来研究公司章程与公司法的关系。公司法对公司章程进行必要的干预,公司章程是对公司法强制性规定以外的规则进行补充、细化及排除。公司章程与公司法是相互融合又对立的关系。
The article analyzes the relationship between a company＇s charter and Company Law from a normative perspective. The necessary intervention that Company Law refers to a company＇s charter supplements, refines, and excludes those regulations which are beyond the mandatory provisions of Company Law. A company＇s charter and Company Law are not only antagonistic to each other, but also compromise each other.
