摘要
在当前的企业并购中,技术并购和专利收购是主要的内容之一,专利技术是跨国并购考量的重要因素。本文简要介绍了专利分析,然后详细论述了专利分析在企业技术并购中的一系列应用,包括并购目标寻找、并购目标审慎调查、最佳并购目标确定、技术价值估算等;最后指出专利分析应用于企业技术并购中的前景和意义。
In the current mergers and acquisitions,technology acquisitions and patent acquisition is a major aspect,and the patented technology is an important factor to consider cross-border MA.Firstly,Patent analysis is introduced in this article.Secondly,the serial applications of patent analysis to corporation mergers and acquisitions are introduced,including targeting,due-diligence,confirming,and value appraisal.At last,the future and significance of applying patent analysis to corporation technology mergers and acquisitions activities is pointed out.
