摘要
我国《信托法》以立法形式在以所有权"一物一权"为特征的成文法系中承认了所有权的"二元结构"(名义所有权与实际所有权的分离)。在对这种所有权二元结构的理解中,各种以信托为名的信托产品层出不穷。但若通过对这些信托产品法律关系的仔细剖析,目前所谓的信托产品并不具备信托所应具备的法律特征,均非真正意义上的信托产品,信托产品沦为融资工具。本文借助对信托法律关系的梳理,剖析并解释现行主要信托产品存在的结构性问题,以期厘清对信托制度和信托产品的正确认识。
Chinese Trust Law has recognized the legality of double-ownership structure on one property though Chinese law system is considered asthe continental law, which claims ＂one property one ownership＂. Encouraged by such Trust law, so many financial products have been designed in the name of trust by the trust companies to expand their business. However in this article, we hold that most so-called trust products haven＇t really reflected the legal characteristics of trust and they are not traditional trust products. So for the purpose of clarifying the knowledge on the trust theory and the trust products, we would like to address the structural issues of existing trust products.
