摘要
合同附随义务是合同法理论中最为活跃的因素之一,尽管我国《合同法》第60条第2款做出了规定,但许多方面尚未形成较为统一的定论,有关附随义务的界定依据、表现形态等问题,仍是争论的焦点问题。面对复杂多变的交易活动,合同附随义务呈现不当扩张的趋势,直接影响合同附随义务功能价值的实现。应从合同附随义务的界定出发,解决附随义务的不当扩张问题。
Contract Collateral Duty is one of the most active elements of contract theory. Although section 2, article 60 of the Contract Law of our country lays down some provisions, consensus on final decision has not been arrived at in many respects, with the basis of defining collateral duty and the forms of collateral duty still being the focus of disputes. Faced with complex and varying transactions, the improper expanding of collateral duty hinders directly the realization of the function of collateral duty. This article aims to solve the problem on the basis of defining properly collateral duty.
