摘要
对于独立董事制度的引进,仁者见仁,智者见智.尽管其存在许多问题,但能完善中国上市公司的治理机制,特别对董事会自身的建设具有重要作用.为此我们必须在法律、激励约束机制、独立性和进出管理等方面加以协调以更好地完善中国上市公司的独立董事制度.
Independent director systems have negative and positive ,although existing a lot of problems ,but can improve the Chinese listed corporations governance mechanisms,especially the board of directors mechanisms shall play importance role. Therefore ,we should develop the law systems, incentive and constraint mechanism,independency and in-out management .All these aim to perfect the independent director system in Chinese companies on stock.
