摘要
随着医疗保障制度由过去的福利性质向社会医疗保险体系逐步过渡,医院现有的投资和管理模式已经不能适应社会主义市场经济发展的需要。在众多国有企业成功转制的同时,国有医院运行规则或体制改革渐渐成为国有资产改革的又一个热点话题。简单地说,就是要通过出售、合资、兼并、破产等手段重新组合医疗资源,将一部分事业单位性质的国有医疗机构改组成为公司制企业。合理规范改制后医院的法人治理结构是关系到国有医院改制成功与否的一项关键内容。本文结合北京同仁医院的实际情况对医院的法人治理结构应该处理好三个方面的矛盾进行了阐述。
Along with the gradual transition of medical security system from welfare nature to social medical insurance system, the currentinvestment/managerial pattern for hospitals cannot meet the need of the development of socialist marketing economics. While lots of state-ownedenterprises successfully change their system, the reform of the state-owned hospital's operating system gradually becomes another heat point forreforming state-owned assets. Simply speaking, medical resources are reorganized through selling, joint venture, annexing and going broke etc.,part of state-owned medical institutions being reorganized into corporative enterprise. To rationally standardize hospital corporate governingstructure after changing hospital system is the key for whether or not hospital system can be successfully changed. Based on the real situation ofTongren Hospital, the article exposes 3 areas how hospital corporate governing structure should deal with.
