摘要
"实质说"与"形式说"对于股东资格认定构成要件的解析在现行资本制度、公司治理理念的发展下具有一定局限性。在厘清股东与股东资格、股东资格与股权之概念的基础上,对传统学说认定的股东资格构成要件重新审视,进而在其基础上提出股东名册一元认定标准,辅之以赋予权利人要求公司配合登记之权利,能够有效解决现今关于股东资格认定标准不一的问题。
Substantial Theory and Formal Theory have certain limitations in the analysis of constituent elements of shareholder qualification determination under the development of current capital system and corporate governance concept.On the basis of clarifying the concepts of shareholders and shareholders’qualification,shareholders’qualification and stock rights,this paper re-examines the constituent elements of shareholders’qualification according to traditional theory,and puts forward the unitary recognition standard of stock ledger supplemented by empowering the obligee to request the company to cooperate with the registration,which can effectively solve the current problems of disunity standards of shareholder qualification.
