摘要
德国已经成为中资企业直接投资的前10位目标国之一,但德国不断修正的外商直接投资国家安全审查制度加剧了中资企业特别是国有企业投资的法律风险。不仅如此,德国等国推动的欧盟《建立在欧盟的外国直接投资的审查框架》已经于近期生效,该框架弥补了部分欧盟成员国有关外国直接投资国家安全审查制度的立法缺陷,并促使德国国家安全审查制度更加趋于严格。我国政府在要求中资企业严格遵守欧盟及其成员国有关国家安全审查制度基础上,应当从国内和国际法治发展两个层面积极推动国家安全审查制度全球治理的统一化进程。
Germany has become one of the top 10 target countries for direct in-vestment by Chinese enterprises,but its continuous revision of the national security review systems for foreign direct investment are accelerating the legal risks of in-vestment of these enterprises,especially state-owned enterprises.Moreover,the EU's Foreign Direct Investment Review Frame work whichwas promoted by Ger-many and other EU parties has established in the EU.This framework has made up for the legislative defects of some EU members on the national security review sys-tem of foreign direct investment,and it has strengthened the stricter national secu-rity review system in Germany.On the basis of.requiring Chinese enterprises to strictly abide by the EU national security rules,Chinese government should actively promote the unification process of global governance of national security re-view system at the domestic and international legal levels.
