摘要
本文通过实证分析所有制和集中程度两种含义上的股权结构与公司治理结构之间的关系 ,得出结论 :和高度集中、高度分散两种股权结构相比 ,适度集中 ,有相对控股股东存在 ,在其他大股东与之相制衡 ,且第一大股东为法人的股权结构总体上有利于公司内、外部治理机制发挥作用 ,因而可作为优化我国上市公司股权结构进而完善公司治理结构的目标模式。
In this paper,the author analyses positively the relationship between equity ownership structure and corporate govermance of the listed companies in China and comes to the conclusion that in contrast with two kinds of equity ownership structure which is either highly centralized or decentralized,the equity ownership structure of moderate centralization which has a relatively controlling shareholder and several other large shareholers restraining it and whose first large shareholder is legal person is advantageous of perfecting corporate govermance.The author argues that this kind of equity ownership structure should become the aim pattern of optimizing the equity ownership structure of the listed companies in our country.
