摘要
股权让与担保是我国市场交易过程中新兴的担保形式,它以转让股权的方式为债权实现担保。但由于股权让与担保在我国法律中没有被明文规定,且有违反物权法定及流质担保之嫌,学界对其有效性一直争论不休,对该权利的具体实现方式也未有探讨。论文基于生效判决的视角,选取了26个股权让与担保的司法典型案例,结合法理分析对股权让与担保的具体认定标准进行了归纳,肯定了股权让与担保的有效性,最后对其实现方式及相关问题提出了新的观点。
Equity Transfer Guarantee is an emerging form of guarantee in the process of market transactions in China. It guarantees the creditor’s rights in the form of transfer of stock right. The equity transferring guarantee in China’s law is not expressly provided, and it may violate the principle of numerus clausus and fluidity contract, so the academic community have been arguing about its effectiveness. The specific way in which this right has been achieved has not been explored. Based on the perspective of effective judgment, this paper chooses 26 typical cases of justice in Equity Transfer Guarantee. Therefore, combined with legal analysis, this article summarizes the specific criteria for determining the equity transfer guarantee, affirms the validity of the equity transfer guarantee, and puts forward new viewpoints on how to realize the secur-ity right and other problem.
