摘要
我国《民法典》下的所有权保留应采用担保权构成说。在所有权保留的担保权构成下,亦应肯定保留卖主可以基于买卖合同解除的一般规则享有合同解除权。保留卖主合同解除权的要件按照买卖是否为分期付款而不同。在保留卖主解除合同后,对于其所保留之担保权的命运,应区分所有权保留在先登记、未登记或较晚登记、虽较晚登记但构成购置款担保超级优先权三种情形分别讨论。若所有权保留登记在先,保留卖主基于其在先登记的担保权可对抗保留买主转卖标的物情形的后续买受人、保留买主为其他债权人设定担保情形的担保权人、保留买主的强制执行债权人和破产债权人。
Regarding the retention of title under the Civil Code of China,the security doctrine should be adopted.Under the security doctrine of the retention of title,the title-retaining seller's right of contract termination based on the general rule of sales contract termination should be recognized.The elements of the title-retaining seller's right of contract termination vary depending on whether the payment is in installments.The fate of such security in the form of retention after the contract is terminated by the title-retaining seller should be discussed respectively in three different situations:where the retention of title is registered in advance,where it is not registered or registered later,and where it is registered later but constitutes the acquisition security enjoying the super priority.If the retention of title is registered in advance,based on such security right registered in advance,the title-retaining seller enjoy priority against any subsequent buyer in the case of the title-retained buyer's resale,any holder of security right where the title-retained buyer grants security to other creditors,any creditor of the title-retained buyer in enforcement and insolvency proceedings.
