摘要
地方政府融资平台集中体现了国企套用公司制的根本性矛盾:一方面,商业信用与政治信用混同;另一方面,公司治理体系与政令传达机制抵牾。公司制度下的既有改革路径解决上述矛盾面临瓶颈,可以考虑在分类改革的基础上,通过国企特别立法形成分类规制。国企特别法适用范围应限于公益类国企,且应与国企从设立到存续的全流程分类规制相配套,并力求实现商业信用与政治信用的良性融合以及公司治理体系与政令传导机制的平衡互补。
The local government financing platform concentratedly reflects the fundamental contradiction of state-owned enterprises applying the company system:on the one hand,the commercial credit and political credit of state-owned enterprises are mixed;on the other hand,the corporate governance system of state-owned enterprises conflicts with the transmission mechanism of government orders.The existing reform path under the company system faces a bottleneck in solving the above contradictions.It is advisable to create a classified regulation of state-owned enterprises through special legislation on state-owned enterprises based on the reform of the classification of state-owned enterprises.The scope of application of the special law on state-owned enterprises should be limited to public welfare state-owned enterprises,and should be coordinated with the whole-process regulation of the establishment and existence of state-owned enterprises,and strive for the benign integration of commercial credit and political credit,and the balance and complementarity of the corporate governance system and the transmission mechanism of government orders.
